Legal basis: Art. 56 section 1 item 2 of the Act on Public Offering - current and periodic information

Content of the report:

The Management Board of Grupa Pracuj S.A. (the “Company”) informs that today the Company received information about registration on July 8, 2022 by the District Court for the capital city of Warsaw in Warsaw, 13th Commercial Division of the National Court Register of the amendment of § 5 section 1 of the Company’s Articles of Association adopted based on Management Board’s resolution dated May 23, 2022, about the adoption of which the Company informed in the current report no. 8/2022 of May 23, 2022.

After the registration of said amendment to the Articles of Association share capital of the Company amounts to PLN 341,325,130 and is divided into 68,265,026 shares with a nominal value of PLN 5.00 each, including (i) 48,686,990 series A shares, (ii) 18,155,860 series B shares, (iii) 1,261,400 series C shares and (iv) 160,776 series D shares.

The total number of votes due to shares issued by the Company is 68,265,026.

The increase of the share capital of the Company was conducted within the authorized capital and the remaining amount of the authorized capital of the Company to be taken up is currently PLN 5,155,235.

Accordingly, § 5 section 1 of the Company's Articles of Association was amended to read as follows:

1. The Company’s share capital amounts to PLN 341,325,130 (say: three hundred forty one million three hundred twenty five thousand one hundred thirty Polish zlotys) and is divided into 68,265,026 (sixty eight million two hundred and sixty five thousand and twenty six) shares with a nominal value of PLN 5.00 (five zlotys) each, of which:

a) 48,686,990 (forty eight million six hundred and eighty six thousand nine hundred and ninety) A series ordinary registered shares;

b) 18,155,860 (eighteen million one hundred and fifty five thousand eight hundred and sixty) B series ordinary registered shares;

c) 1,261,400 (one million two hundred and sixty one thousand four hundred) C series ordinary registered shares, and

d) 160,776 (one hundred sixty thousand seven hundred seventy six) D series ordinary bearer shares.”
